Terms of Service

These Terms of Service ("Terms") govern your use of the website at numyl.org (the "Site"), which is operated by NUMYL, LLC, a Utah limited liability company ("Numyl", "we", "us", or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms apply only to this informational website. Use of Numyl's software products (including anything at app.numyl.com, billing.numyl.com, register.numyl.com, tenant.numyl.com, help.numyl.com, or any other Numyl product) is governed by separate agreements presented at those services. Nothing in these Terms grants any rights in those products.

1. Eligibility

The Site is intended for users who are at least 13 years of age. By using the Site you represent that you meet this requirement. The Site is directed to users in the United States, Canada, and other non-European jurisdictions. We do not target residents of the European Union or the United Kingdom. If you are in the EU or UK and choose to access the Site, you do so on your own initiative and are responsible for compliance with local law.

2. What the Site is

The Site is an informational website about Numyl and its products. It does not provide any paid services, user accounts, or ability to post content.

3. Our intellectual property

All text, graphics, logos, images, layouts, and source code on the Site are owned by Numyl or its licensors and are protected by copyright, trademark, and other laws. "Numyl"™ and the Numyl wordmark are trademarks of Numyl, LLC. You may view the Site for personal, non-commercial purposes. Any other use — including copying, reproduction, redistribution, or creation of derivative works — requires our prior written permission.

4. Acceptable use

You agree not to:

• scrape, crawl, or harvest the Site beyond ordinary browsing;
• probe, scan, or attempt to breach security or authentication measures;
• interfere with or disrupt the Site or impose an unreasonable load on it;
• use the Site to transmit malware, unsolicited advertising, or unlawful content;
• misrepresent yourself or your affiliation with Numyl;
• frame, mirror, or otherwise rehost the Site without permission;
• use the Site in violation of applicable law, including U.S. export controls and sanctions administered by OFAC.

5. Third-party links

The Site may link to third-party websites. Those sites are not under our control and we are not responsible for their content, policies, or practices. Your use of any linked site is at your own risk and subject to the terms of that site.

Our handling of information is described in our Privacy Policy, which is incorporated into these Terms by reference.

7. Disclaimers

Please read this section carefully; it limits our obligations to you.

The Site is provided "as is" and "as available", without warranty of any kind, either express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Site will be uninterrupted, secure, or error-free. We do not warrant the accuracy, completeness, or currency of any content on the Site, and we may change or remove content at any time without notice.

8. Limitation of liability

Please read this section carefully; it caps our liability.

To the fullest extent permitted by law, Numyl and its officers, members, employees, and agents will not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of or inability to use the Site, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to these Terms or the Site, from all causes of action and under all theories of liability, will not exceed one hundred U.S. dollars ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability will be limited to the smallest amount permitted by law.

9. Indemnification

You agree to indemnify and hold harmless Numyl, its officers, members, employees, and agents from and against any claim, liability, loss, damage, cost, or expense (including reasonable attorneys' fees) arising from your misuse of the Site, your violation of these Terms, or your violation of any law or third-party right.

10. Governing law and venue

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules, and by the federal laws of the United States of America applicable therein. The exclusive venue for any dispute arising out of or relating to these Terms or the Site is the state or federal courts located in Utah County, Utah, and you consent to personal jurisdiction in those courts.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Your continued use of the Site after a change becomes effective constitutes your acceptance of the updated Terms. We do not separately notify you of changes; please check this page periodically.

12. Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and Numyl regarding the Site and supersede any prior agreements on that subject. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms freely. Headings are for convenience only and do not affect interpretation.
